1. About Us

RetailGuard is a trading name of UK Connect Solutions Ltd, a company registered in England and Wales (Company No. 16722697). Our registered address and contact details are available on request. References to "we", "us", or "our" mean UK Connect Solutions Ltd.

2. Services

We provide push-to-talk (PTT) radio hardware and SIM connectivity services for ShopWatch and retail security schemes. Services are provided on a monthly subscription basis per device unless otherwise agreed in writing.

3. Quotes & Orders

All quotes are valid for 30 days from the date of issue. An order is only accepted once confirmed in writing by us. We reserve the right to decline any order at our discretion.

4. Payment

• Invoices are issued monthly in advance unless otherwise agreed.
• Payment is due within 14 days of the invoice date.
• Late payments may incur interest at 8% above the Bank of England base rate under the Late Payment of Commercial Debts Act 1998.
• Prices are exclusive of VAT unless stated otherwise.

5. Hardware

• Hardware remains the property of UK Connect Solutions Ltd unless a purchase agreement is in place.
• You are responsible for the safe keeping of all hardware whilst in your possession.
• Lost or damaged hardware may be charged at replacement cost.
• Replacement cover is included for hardware faults under normal use.

6. SIM & Connectivity

• SIM cards remain the property of UK Connect Solutions Ltd at all times.
• SIMs must only be used in RetailGuard-approved devices.
• We do not guarantee uninterrupted network coverage as this is dependent on third-party mobile networks.

7. Contract Term & Cancellation

• Services are provided on a rolling monthly basis unless a fixed term is agreed.
• Either party may cancel with 30 days written notice.
• Early termination of a fixed-term contract may incur a termination fee equal to the remaining months' charges.
• On cancellation, all hardware and SIM cards must be returned within 14 days in good condition.

8. Liability

• We shall not be liable for any indirect or consequential loss arising from use of our services.
• Our total liability shall not exceed the total fees paid in the 3 months preceding the claim.
• Nothing in these terms limits liability for death, personal injury, or fraud.

9. Data Protection

We process personal data in accordance with UK GDPR and our Privacy Policy. We will not share your data with third parties except as necessary to deliver the service.

10. Governing Law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to These Terms

We may update these terms from time to time. We will notify you of material changes by email. Continued use of our services after changes constitutes acceptance.
